1. Parties

This License Agreement (Agreement) is entered into between the Producer (Licensor) and the Buyer (Licensee) for the licensed use of the musical composition and sound recording (Beat).

2. Grant of License

After full payment, the Buyer receives the rights expressly granted by the selected MP3, WAV, STEMS or EXCLUSIVE agreement and any lawful disclosed Producer terms.

All rights not expressly granted are reserved by the Producer.

An Exclusive sale removes the beat from public sale and blocks new purchases. Earlier non-exclusive licenses remain valid. Copyright transfers only if expressly granted.

3. Permitted Uses

Subject to the limitations of the selected license tier, Licensee may:

• Record vocals and create derivative works
• Distribute the resulting song on streaming platforms
• Monetize only where the purchased license permits
• Perform the song live
• Use the Beat in music videos and social media content

4. Stream & Usage Limitations

Each license tier includes specific usage limits, including but not limited to:

• Maximum number of streams
• Broadcast limitations
• Monetization scope

Use beyond the purchased limits requires an appropriate license or written permission; no automatic grace period is promised.

The purchased agreement determines the consequences of exceeding its limits, subject to applicable law.

“Unlimited” applies only to the uses expressly identified as unlimited in the license.

5. Restrictions

The Licensee may NOT:

• Resell, sublicense, share, or redistribute the Beat in its raw form
• Claim authorship or rights not expressly transferred by the agreement
• Register in Content ID without permission under the license or separate written Producer authorization
• Use the Beat in unlawful, defamatory, hateful, or harmful content

6. Credit Requirement

Licensee agrees to credit the Producer as:

“Prod. by DRFT808”

Where reasonably possible (e.g., streaming platforms, YouTube descriptions).

Failure to provide credit does not void the license but may constitute breach subject to correction.

7. Ownership

The Producer retains rights not expressly transferred in the agreement, including as applicable:

• Copyright in the composition
• Copyright in the master recording
• Publishing rights

Except in cases where an Exclusive License explicitly transfers such rights.

8. Content ID & Claims

Content ID depends on the specific license and third-party rights; it must not defeat earlier valid licenses.

If a claim affects the Licensee's lawful use under this Agreement, the Licensee may request manual claim release.

Exclusive Content ID control transfers only where applicable and not restricted by the purchased terms.

9. Payments & Refunds

Digital purchases are final after supply begins, subject to mandatory law and the applicable express-consent requirements. No voluntary refund applies for a change of mind, taste or release plans. Non-delivery and non-conformity remedies remain protected.

For missing files or licenses, contact support@underbpm.com with order ID and purchase email. Contacting a payment provider first does not itself terminate the license.

10. Samples, AI and platform responsibility

The standard license prohibits AI training, datasets, model development and cloning without separate written Producer permission. Sample clearance is not guaranteed unless stated in writing; check additional release permissions. Producers remain responsible for their rights and representations, and UNDERBPM for its own service obligations under applicable law.

11. Termination

Termination for material breach is subject to applicable law and the purchased agreement.

Upon termination, Licensee must cease further use and distribution of the Beat where removal is reasonably feasible.

12. Governing Law

Applicable law and competent courts are determined by the relevant legal rules. Mandatory consumer rights remain unaffected.
