1. Parties
This License Agreement (“Agreement”) is entered into between the Producer (“Licensor”) and the Buyer (“Licensee”) for the licensed use of the musical composition and sound recording (“Beat”).
2. Grant of License
Upon full payment, the Licensee is granted a non-exclusive, non-transferable, non-sublicensable license to use the Beat in accordance with the selected license tier.
All rights not expressly granted are reserved by the Producer.
Exclusive licenses, where purchased, transfer ownership rights as explicitly stated in the Exclusive License terms.
3. Permitted Uses
Subject to the limitations of the selected license tier, Licensee may:
- Record vocals and create derivative works
- Distribute the resulting song on streaming platforms
- Monetize content on digital platforms (YouTube, Spotify, etc.)
- Perform the song live
- Use the Beat in music videos and social media content
4. Stream & Usage Limitations
Each license tier includes specific usage limits, including but not limited to:
- Maximum number of streams
- Broadcast limitations
- Monetization scope
If the Licensee exceeds the stream limit associated with the purchased license tier, the Licensee must purchase an upgraded license within 30 days of exceeding such limit.
Failure to upgrade constitutes a material breach of this Agreement.
For unlimited licenses, no stream cap applies.
5. Restrictions
The Licensee may NOT:
- Resell, sublicense, share, or redistribute the Beat in its raw form
- Claim ownership of the Beat or its underlying composition
- Register the Beat in Content ID systems unless Exclusive rights are granted
- Use the Beat in unlawful, defamatory, hateful, or harmful content
6. Credit Requirement
Licensee agrees to credit the Producer as:
“Prod. by {}”
Where reasonably possible (e.g., streaming platforms, YouTube descriptions).
Failure to provide credit does not void the license but may constitute breach subject to correction.
7. Ownership
The Producer retains full ownership of the Beat, including:
- Copyright in the composition
- Copyright in the master recording
- Publishing rights
Except in cases where an Exclusive License explicitly transfers such rights.
8. Content ID & Claims
For non-exclusive licenses, the Producer reserves the right to register the Beat in Content ID systems.
If a claim affects the Licensee’s lawful use under this Agreement, the Licensee may request manual claim release.
Exclusive licenses transfer Content ID control to the Licensee unless otherwise agreed.
9. Payments & Refunds
All sales are final unless required by applicable consumer protection law.
Chargebacks or payment disputes without prior contact may result in immediate license termination.
10. Indemnification
The Licensee agrees to indemnify and hold harmless the Producer from any claims, damages, liabilities, or legal disputes arising from the Licensee’s use of the Beat.
11. Termination
This Agreement terminates automatically upon breach of its terms.
Upon termination, Licensee must cease further use and distribution of the Beat where removal is reasonably feasible.
12. Governing Law
This Agreement shall be governed by applicable local law unless otherwise specified.
